These Terms of Service (“Terms”) govern your use of Zerocap’s public website (“Website”) and Zerocap’s online portals, dashboards, interfaces, APIs, and any authenticated services (“Platform”). Together, the Website and Platform are referred to as the Zerocap Digital Services.
By accessing or using any Zerocap Digital Services, you agree to be bound by these Terms. If you do not agree, you must stop using the Zerocap Digital Services immediately.
These Terms govern Website and Platform use only. They do not govern any services you receive as a client of Zerocap.

1. Relationship to Client Services and the PSA
Section titled “1. Relationship to Client Services and the PSA”1.1 Client Services (Broad Definition)
For clarity: “Client Services” means any services provided by Zerocap to onboarded clients under a Prime Services Agreement (“PSA”) or any other client agreement, including but not limited to digital-asset trading, execution, liquidity provision, market access, custody, settlement, transfers, prime brokerage, credit or margin arrangements, foreign exchange, derivatives, staking or yield solutions, or any other regulated or unregulated services.
1.2 PSA Governs All Client Services
The PSA (and any related client agreements or product schedules) exclusively governs the terms applicable to Client Services. The PSA covers all rights, obligations, liabilities, and mechanics relating to Client Services. These Terms do not create or modify any such obligations.
1.3 PSA Overrides These Terms
If you have executed a PSA with Zerocap: In the event of any inconsistency between these Terms and the PSA or other client agreements, the PSA and those agreements prevail.
2. Scope of the Website and Platform
Section titled “2. Scope of the Website and Platform”2.1 Website
The Website may include:
- General information, product summaries, research, educational material, market commentary, marketing content.
- Enquiry, onboarding, or contact forms.
- Public resources and tools.
Website content is informational only and must not be relied upon as financial, investment, legal, tax, or other professional advice.
2.2 Platform
The Platform may allow you to:
- Log in, manage your account, complete onboarding or KYC.
- View balances, indicative prices, analytics, reporting or history.
- View messages, notifications or instructions.
- Interact with APIs (where authorised).
- Initiate communications or instructions to Zerocap.
The Platform provides interfaces only. It does not itself constitute any Client Services. Any activity involving execution, settlement, custody, transfer, credit, margin, or other Client Services is governed exclusively by the PSA.
3. Access, Eligibility & Account Security
Section titled “3. Access, Eligibility & Account Security”To access certain parts of the Platform, you may be required to register and provide accurate, current, and complete information. You are responsible for:
- Keeping login credentials secure.
- Implementing strong passwords and two-factor authentication.
- Securing your devices, browsers, and networks.
- Notifying Zerocap immediately of any unauthorised access.
Zerocap may suspend access if suspicious or unauthorised behaviour is detected.
4. Prohibited Conduct
Section titled “4. Prohibited Conduct”You must not:
4.1 Illegal or Improper Activity
- Engage in money laundering, terrorism financing, sanctions evasion, fraud, or unlawful behaviour.
- Provide false, misleading, or incomplete information.
4.2 Interference or Security Breaches
- Hack, disrupt, overload, or interfere with the Website or Platform.
- Introduce malware, harmful code, or automated bots/scrapers without approval.
- Attempt to gain unauthorised access to any Zerocap system.
4.3 Reverse Engineering or Replication
- Reverse engineer or attempt to reconstruct any part of the Website or Platform.
- Copy, reproduce, or extract underlying systems, code, data structures, or algorithms.
4.4 Exploitation of Errors or Glitches
- Exploit technical errors, pricing/display issues, miscalculations, or system malfunctions.
- Zerocap may correct errors and recover misappropriated assets or funds.
5. Website Content Disclaimer
Section titled “5. Website Content Disclaimer”5.1 Informational Only
All Website content is provided without representation or warranty, for general informational purposes, and without considering your objectives or circumstances.
5.2 No Advice or Offer
Nothing on the Website constitutes advice of any kind, an offer or solicitation, a recommendation, or a guarantee of performance.
6. Platform Data, Display & Accuracy
Section titled “6. Platform Data, Display & Accuracy”6.1 Indicative Only
Balances, market prices, analytics, charts, or values shown on the Platform are indicative and may be delayed, inaccurate, incomplete, or dependent on external providers or networks.
6.2 No Binding Effect
Platform displays do not create binding obligations. All contractual obligations arise only under the PSA.
6.3 No Execution or Settlement Guarantee
The Platform does not guarantee execution, settlement, custody, liquidity, market access, or completion of instructions. These functions are part of Client Services under the PSA.
7. Transfers, Wallet Behaviour & User Responsibility
Section titled “7. Transfers, Wallet Behaviour & User Responsibility”Zerocap is not responsible for:
- Assets sent to incorrect or incompatible wallet addresses.
- Assets sent using unsupported networks, chains, or formats.
- Transfers initiated from third-party wallets outside Zerocap’s control.
User error or poor security hygiene does not create liability for Zerocap.
8. Security & Operational Risks
Section titled “8. Security & Operational Risks”You acknowledge that:
- Internet transmission is inherently insecure.
- Downtime, maintenance, outages, or cyber events may occur.
- Third-party dependencies (exchanges, custodians, data providers, blockchains) may fail.
Zerocap does not warrant uninterrupted or error-free operation of the Website or Platform.
9. AML/CTF, Fraud & Compliance
Section titled “9. AML/CTF, Fraud & Compliance”Zerocap may:
- Request additional verification.
- Restrict or suspend access.
- Block actions or content.
- Disclose information to regulators or law enforcement.
10. Error Recovery & Adjustments
Section titled “10. Error Recovery & Adjustments”If you receive assets or funds due to system error, mispricing, technical malfunction, or mistaken processing, Zerocap may reverse or recover such amounts and adjust balances accordingly.
11. Indemnity
Section titled “11. Indemnity”You indemnify Zerocap and its affiliates from any loss arising out of:
- Your breach of these Terms.
- Misuse of the Website or Platform.
- Security failures on your device.
- Illegal or improper conduct.
- Infringement of Zerocap’s intellectual property.
- Automated scraping, mining or extraction.
12. Limitation of Liability
Section titled “12. Limitation of Liability”To the maximum extent permitted by law:
- Zerocap disclaims all warranties relating to the Website and Platform.
- Zerocap is not liable for indirect, consequential, special, economic or punitive losses.
- Zerocap is not liable for losses caused by downtime, inaccuracy, delays, outages or cyber events.
Zerocap’s aggregate liability is limited to re-supplying access or paying the cost of resupply. This does not apply to obligations under the PSA.
13. Intellectual Property
Section titled “13. Intellectual Property”All Website and Platform content, including software, data, research, articles, charts, design, branding, text, and code, is protected by copyright and other intellectual property laws. You may not:
- Copy, reproduce, frame, republish, or distribute content without consent.
- Reverse engineer or extract code, logic, or data.
- Remove proprietary notices or branding.
14. Third-Party Websites, Tools & Providers
Section titled “14. Third-Party Websites, Tools & Providers”The Website or Platform may reference or integrate third-party sites, wallets, block explorers, data feeds, identity verification tools, or custodians/exchanges. Zerocap does not control or endorse third-party content or systems and is not liable for losses arising from their use.
15. Cookies & Analytics
Section titled “15. Cookies & Analytics”The Website and Platform may use cookies and analytics tools. Use of personal information is governed by Zerocap’s Privacy Policy.
16. Suspension or Termination
Section titled “16. Suspension or Termination”Zerocap may suspend, restrict, or terminate Website or Platform access if these Terms are breached, suspicious behaviour occurs, operational or security risks arise, or if required by law. Suspension of Website or Platform access does not amend, terminate, or limit any Client Services governed by the PSA.
17. Governing Law
Section titled “17. Governing Law”These Terms are governed by the laws of Victoria, Australia.
- Disputes about Website or Platform use are governed by these Terms.
- Disputes about Client Services are governed by the PSA or other client agreements.
